Subject outline
This subject deals with problems in he drafting and enforcement of contracts involving two or more legal systems with reference to international conventions. A range of current topics will be covered, for example, standardisation of terms, choice of governing law, penalty clauses, review procedures in long term contracts, changed circumstances and hardship clauses, contracts as security, proceeds clauses and title retention, currency and maintenance of value clauses. Relevant aspects of dispute resolution will also be considered.
