This subject introduces students to the significance of corporate governance in the context of corporate regulation. The subject is designed to give students an insight into several corporate governance issues of current importance including comparative analysis of corporate governance in different countries. Principal topics include: agency problems in the context of publicly listed companies, the different tools used by corporate law to regulate agency problems, directors' duties and their enforcement, executive compensation, the role of the market for corporate control and minority shareholder protection.
