Subject outline

This subject provides an introduction to selected fundamental legal issues in relation to corporate banking and finance law. In addition to an examination of key legal issues the subject aims to provide students with an opportunity to develop practical legal skills by drafting and negoting the terms of a loan agreement. The subject is divided into three themes: 1) regulation of the financial system; 2) the legal nature of different forms of financial accommodation; 3) Guarantees. Topics covered include: regulation of Australia's financial system including the impact of deregulation and the Global Financial Crisis, discussion of the legal nature and structure of different forms of financial accommodation including the nature of the relationship between borrowers, lenders and agents in multi lender financing; the negotiation and drafting of loan agreements; and the law of guarantees.
