Subject outline

This subject is intended as an introduction to the business law of Vietnam. It starts with an overview of the Vietnamese legal system and is followed by various aspects of the laws governing business entities and doing business in Vietnam. Topics covered in the subject include: overview of Vietnamese legal system (location of the legal system on the world map of legal families; sources of law; structure of court system and dispute resolution), business entities (formation of a business entity; advantages and disadvantages of different types of business entities; forms of foreign investment; corporate capital raising: issuance of shares, bonds, bank loans, taxes imposed on business entities (corporate income tax, import-export duties, VAT, special consumption tax), contract law (nature and types of contract, formation of the contract, illegal and invalid contract) and product liabilities (corporate liability for products causing harm to consumers).
