This unit focuses on various legal issues commonly arising in Mergers and Acquisitions transactions in the United States, including duties of directors, shareholder voting and dissenters' rights, and disclosure and procedures under the Federal Securities laws. The unit covers both negotiated and hostile acquisitions of corporate control.
