Subject outline
This subject examines the basic financial concepts and tools relevant to lawyers with transactional practices. These concepts include a variety of areas relevant to both equity and debt financings. With respect to equity financings, concepts discussed include preferred stock, common stock, dividends. Within debt financings, concepts include bonds and other debt (both short term and long term), interest rates, convertible securities, and more. A wide range of legal rules relevant to these financial concepts will be covered, primarily focusing on American laws. The course will also include a mini-unit on venture capital transactions and entrepreneurship law, and may include a brief in-class negotiation of a venture capital term sheet.
