Subject outline
In this unit students will be presented with an overview of the Corporation Code and the Code of the Philippines, as well as certain other laws and regulations that impact on foreign nationals investing or doing business in the Philippines. The focus is on the stock corporation as a limited liability entity, and the discussions will cover, inter alia, foreign equity limits, capital stock structure, minority stockholder protective devices, corporate governance, and raising capital through corporate borrowing and securities offering.
