Subject outline
This subject provides a detailed examination of the legislation and relevant case law and principles of equity and their practical application to the effective governance of companies, including relevant company secretarial practice and compliance issues. It also focuses on the impact of the Corporations Act 2001 (as amended) and these other sources of law upon effective corporate administration by company secretaries and other governance professionals. This subject is offered in partnership with the Governance Institute of Australia.

Prerequisites Students must be enrolled in LMCGR - Master of Management (Corporate Governance and Risk), or by permission of subject coordinator.

Special conditions This subject is managed and delivered by the Governance Institute of Australia. Classes normally begin 1-2 weeks after standard La Trobe semester and meet for 2.0 hours weekly for 12 weeks, depending on Governance Institute timetable. Classes may be offered in intensive block mode on weekends, depending on the Governance Institute timetable. Students may be able to take the subject online, with permission from the subject coordinator. Students are recommended to contact the subject coordinator prior to enrolling. International student enrolment is limited to international students enrolled in one of the following courses: LMCGR, LMMGT, LMMEI, LMMHR, LMPM, LMMSM, LMIBUS, LZFAPA.
