Subject outline
In this subject, students will be provided with an overview of the new and emerging field of global corporate governance. Numerous corporate failures and environmental disasters in recent times have provided a surge of interest in ensuring companies reflect not only regulatory standards but also conduct their operations to reflect community and society norms. By the conclusion of this subject students should be able to add value to their organisations through their understanding of corporate governance in a global context and of the role of the board of directors and management. Students will be expected to consider a variety of different perspectives: stakeholders versus stakeholder paradigms; legal and behavioural frameworks; the external environment and the responsibility to stakeholders; board responsibilities, processed and remuneration; ESG risk; and international governance and frameworks.
