The subject will explore technology related contracts that enable the commercialisation and protection of intellectual property rights. An introduction is provided to intellectual property rights, establishing legal and equitable ownership and exploiting ownership through assignment and licensing. Contract interpretation is explored including expressed and implied terms and the role of conditions and warranties. Issues commonly covered in technology contracts will be considered, such as, supply of goods and/or services, distribution rights, performance targets, research and development, options and rights of first refusal, exclusivity/non-exclusivity and territorial limitations on licenses, payments and royalties, contract
