Biochemistry SocietyDepartment of BiochemistryConstitution and rules of the Biochemistry SocietyNAME 1. The official name of this club is to be: Biochemistry Society OBJECT 2. As a member of the Clubs and Societies Council, the object of this Society is to foster and encourage, within the University context, participation in this and associated activities MEMBERSHIP 3. Membership is open to all students and staff members of LaTrobe University 4. Membership may be suspended or withdrawn BY A TWO THIRDS MAJORITY at a general meeting of club members. Appeals against such a decision may be directed to the Clubs and Societies Council. 5. The Club Committee may recommend to a general meeting of club members that a subscription fee be charged; such subscription being a prerequisite to membership in the club. COMMITTEE 6. The Club members shall number four (4) members and shall comprise: 7. Election to the particular office is by the Society from within the membership of the Society. 8. Committee Meetings are to be held at such time and place as decided from time to time by the Committee; but not less than once per term. 9. The quorum for Committee Meetings is to consist of four members 10. The Committee is to have the power to fill any vacancy in the Offices of the Society which may occur between Annual Meetings. 11. Cheques and cash withdrawals on the Society's bank account must be signed for by two (2) of the following - President, Vice President, Secretary or Treasurer. 12. The Committee generally is to have power to do all things necessary to the pursuance of the object of the Club - subject to the provisions of this Constitution and any other Regulations by which the club is bound. 13. An Annua1 November, 2010ch year, at which time Members of the Club Committee are to be elected, and the Annual General Report and Financial Statement presented. 14. A special General Meeting may be called by the President and Secretary in conference, or on a signed requisition by ten (10) members setting out the purpose for which such a meeting is to be called. 15. Notice of all General Meetings is to be given to members at least seven (7) academic days prior to the date of such meetings. 16. The quorum for such a meeting .. VOTING 17. Except as prescribed in Clause 4 of this constitution, decisions of a Club Committee or General Meeting shall be a majority of those present at the Meeting. 18. The President (or substitute) Chairman of a Meeting shall have a casting vote as well as a deliberate vote. GENERAL 19a. Every member undertakes to contribute to the assets of the Club, in the event of the same being wound up during the time at which he is a member, should such assets be insufficient to meet any liabilities existing, at the said time. 19b. In the event of our Club being disaffiliated by the Clubs and Societies Council, of which we are an affiliated body, all acounts held on our behalf in bank accounts, revert to the Clubs and Socities Council, and the signature of the then Admin. Officer of the SRC and the secretary/treasurer of the C & S Council and the evidence of the Club's disaffiliation will be sufficient for the funds to be paid to the SRC. 20. With reference to (2) Object, above, the Club may affiliate with such other bodies as it may sees fit. INTERPRETATION AND AMMENDMENT 21. If a dispute arises involving the interpretation of these Rules or is outside the jurisdiction of these rules, the matter is to be referred to the C & S Coucil, whose decision shall be final. 22. This Club Constitution may be ammended by a vote of a General Meeting of Club members, such ammendments being subject to ratification by the C & S Council. 23. This Society is affiliated with the C & S Council of La Trobe University and anything in this Constitution which conflicts with the Constitution of that Council shall be null and void. In all matters not specifically dealt with herein, the Constitution and Regulations of the C & S Council shall apply.
